Plumber Community Directory Listing Agreement

This Agreement is between Plaspro (Pty) Ltd, trading as UNITWIST (“UNITWIST”, “we”, “us”), and the plumber or plumbing business applying to be listed on the UNITWIST plumber search / directory (“the Directory”) (“you”, “the Plumber”). By submitting a sign-up application, ticking acceptance, or accepting a Directory listing, you agree to be bound by this Agreement.

1. Purpose of the Directory

1.1 The Directory is a free referral tool that allows members of the public to find plumbers in their area. UNITWIST does not charge members of the public to use it, and (unless separately agreed in writing) does not charge Plumbers to be listed.

1.2 Nothing in this Agreement guarantees you any minimum number of leads, enquiries, or work as a result of your listing.

2. Independent Contractor Status

2.1 You are an independent contractor. You are not an employee, agent, partner, franchisee, or representative of UNITWIST or Plaspro (Pty) Ltd.

2.2 You have no authority to make any commitment, representation, or warranty on behalf of UNITWIST or Plaspro (Pty) Ltd, and you agree not to represent yourself as such to any customer.

2.3 Your listing in the Directory does not create any employment, agency, joint venture, or partnership relationship, however your work is described or however customers may perceive it.

3. Your Warranties and Eligibility

By applying for and accepting a Directory listing, you warrant and confirm on an ongoing basis that:

  • 3.1 you hold all licences, registrations, and qualifications required by law to carry out plumbing work in your jurisdiction, and will maintain these for as long as you are listed;
  • 3.2 you hold valid public liability insurance (and any other insurance required by law or by your trade) at a level adequate for the work you undertake, and will provide proof on request;
  • 3.3 the information you provide to us for your listing (including contact details, qualifications, service area, and any certifications) is true, current, and not misleading;
  • 3.4 you will carry out all plumbing work competently, safely, and in accordance with applicable laws, municipal by-laws, and manufacturer installation guidelines, including UNITWIST installation guidelines where UNITWIST products are used; and
  • 3.5 you will maintain a standard of conduct towards customers that is professional, honest, and non-deceptive.

4. Nature of Listing — No Endorsement of Workmanship

4.1 Being listed in the Directory reflects that you are a member of the UNITWIST community or a UNITWIST-trained installer (as applicable). It is not, and must not be represented as, a certification, guarantee, or endorsement by UNITWIST of your workmanship, pricing, reliability, or general conduct.

4.2 You must not state or imply to customers that UNITWIST supervises, inspects, guarantees, warrants, or is otherwise responsible for your work.

4.3 You may reference your UNITWIST community membership or training status accurately (e.g. “UNITWIST-trained installer”) but may not use UNITWIST's name, logo, or brand in a way that suggests a broader endorsement, partnership, or agency relationship without our prior written consent.

5. Relationship with the Customer

5.1 Any contract for plumbing work — including price, scope, timelines, materials, and workmanship — is strictly between you and the customer. UNITWIST is not a party to that contract.

5.2 You are solely responsible for quoting, invoicing, collecting payment, and resolving any dispute arising from your work, including complaints, defects, and remedial work.

5.3 UNITWIST accepts no liability for any loss, damage, injury, delay, or additional cost arising from your work, advice, or conduct.

6. Product Warranty

6.1 You acknowledge that UNITWIST's product guarantee is conditional on installation in accordance with UNITWIST's published installation guidelines. Non-compliant installation may void that guarantee for the customer, and you agree to install UNITWIST products strictly in accordance with those guidelines.

6.2 You agree not to make any representation to a customer about the scope or duration of a UNITWIST product warranty beyond what is published by UNITWIST.

7. Complaints and Removal

7.1 UNITWIST may receive and review complaints from customers about your work or conduct.

7.2 UNITWIST reserves the right, at its sole discretion and without obligation to provide reasons, to suspend or remove your listing from the Directory at any time, with or without notice — including where we reasonably believe your conduct, workmanship, licensing, or insurance status may pose a risk to customers or to UNITWIST's reputation.

7.3 Removal from the Directory does not entitle you to compensation and does not affect any other commercial relationship you may have with UNITWIST (e.g. as a stockist or trade account holder), unless we advise otherwise.

8. Indemnity

You agree to indemnify and hold harmless UNITWIST and Plaspro (Pty) Ltd, and their directors, employees, and agents, against any claim, loss, damage, cost, or expense (including reasonable legal costs) arising from or in connection with:

  • 8.1 your workmanship, advice, or conduct in connection with any customer referred through the Directory;
  • 8.2 any breach of the warranties given in clause 3; and
  • 8.3 any representation you make to a customer that you have authority to bind UNITWIST or that your work is endorsed, guaranteed, or supervised by UNITWIST.

9. Data and Privacy

9.1 The personal information you provide for your listing will be processed in accordance with UNITWIST's Privacy Policy and the Protection of Personal Information Act 4 of 2013 (POPIA).

9.2 By accepting this Agreement, you consent to your name, business name, contact details, service area, and relevant qualifications/certifications being displayed publicly on the Directory.

10. Content You Submit — Marketing Licence

10.1 In the course of being part of the UNITWIST plumber community, you may submit or upload photographs, videos, installation images, testimonials, written descriptions, ratings, or other material to UNITWIST — whether via Directory sign-up, a plumber portal, WhatsApp, email, or any other channel (“Content”).

10.2 By submitting Content, you grant UNITWIST and Plaspro (Pty) Ltd a perpetual, irrevocable, royalty-free, worldwide, non-exclusive licence to use, reproduce, edit, adapt, crop, translate, publish, display, and distribute the Content, in whole or in part, for any marketing, promotional, advertising, or business purpose whatsoever, including on the UNITWIST website, social media channels, print and digital marketing materials, trade displays, and email communications.

10.3 UNITWIST is not obligated to use any Content you submit. No compensation, royalty, or attribution is due to you for any use of your Content, unless UNITWIST elects otherwise at its sole discretion.

10.4 By submitting Content, you warrant that: you own all rights in the Content or have obtained all necessary permissions to submit it; the Content does not infringe any third party's intellectual property, privacy, or other rights; you have obtained the consent of any identifiable person (including customers) appearing in the Content to its use as set out in this clause; and the Content is not false, misleading, defamatory, or unlawful.

10.5 You indemnify UNITWIST and Plaspro (Pty) Ltd against any claim, loss, or damage arising from a breach of the warranties in clause 10.4.

11. Term and Termination

11.1 This Agreement takes effect when you accept it as part of your sign-up and continues for as long as you remain listed in the Directory.

11.2 Either party may terminate the listing at any time, for any reason, on written notice (email is sufficient).

11.3 Clauses 5, 6, 8, 9, and 10 survive termination of this Agreement.

12. Limitation of Liability

To the fullest extent permitted by law, UNITWIST's total liability to you arising out of or in connection with this Agreement or the Directory shall not exceed R0 (nil), it being agreed that the Directory is provided to you free of charge and is not a paid commercial service.

13. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising from it are subject to the jurisdiction of the South African courts.

14. Changes to This Agreement

UNITWIST may update this Agreement from time to time. Continued participation in the Directory after changes are posted or communicated constitutes acceptance of the revised terms.

By ticking “I have read, understood, and agree to be bound by this Agreement” during online sign-up, you confirm that you have read, understood, and agree to be bound by this Directory Listing Agreement, including the marketing licence granted in clause 10.
